MERGER AGREEMENT
This Merger Agreement ("Agreement") is made and entered into as of this [08/27/2024], by and between The Legion ("Legion"), led by Kiwi, and The Immortals ("Immortals"), led by Tyrion.**

RECITALS
WHEREAS, the Legion and the Immortals each possess unique strengths, assets, and capabilities that, when combined, will enhance their mutual power, influence, and reach;

WHEREAS, Kiwi, as the leader of the Legion, and Tyrion, as the leader of the Immortals, have mutually agreed to combine their forces and resources for the betterment of both groups;

WHEREAS, this merger is intended to create a unified entity that will operate under shared leadership, with a common purpose and set of goals;

AGREEMENT
NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, the Legion and the Immortals agree as follows:

Merger of Entities
The Legion and the Immortals hereby agree to merge into a single entity, to be known as the Immortal Legion ("Combined Entity").
Upon the execution of this Agreement, all assets, resources, members, and operations of both the Legion and the Immortals will be transferred to and become part of the Combined Entity.
Leadership Structure
Kiwi and Tyrion will jointly serve as the Co-Leaders of the Immortal Legion.
All major decisions regarding the Combined Entity will require the consensus of both Co-Leaders.
A Council of Elders will be established, comprising senior members from both the Legion and the Immortals, to advise the Co-Leaders and assist in decision-making.
Governance and Decision-Making
The Immortal Legion will adopt a governance structure that balances the input of its members with the leadership of the Co-Leaders.
Decisions regarding strategic initiatives, resource allocation, and member welfare will be made through a combination of Co-Leader consensus and Council of Elders recommendations.
A Code of Conduct will be established, combining the values and principles of both the Legion and the Immortals, to guide the behavior and actions of all members of the Combined Entity.
Resource Integration
All resources, including but not limited to financial assets, technology, weaponry, and territories, will be pooled together under the control of the Immortal Legion.
A Resource Management Team, consisting of members from both the Legion and the Immortals, will be created to oversee the equitable distribution and utilization of these resources.
Membership and Recruitment
All current members of the Legion and the Immortals will automatically become members of the Immortal Legion.
A unified Recruitment and Training Program will be developed to attract and train new members, ensuring the continued growth and strength of the Combined Entity.
Conflict Resolution
Any disputes arising between members or leaders within the Immortal Legion will be addressed through a formal Mediation Process, overseen by the Council of Elders.
The Co-Leaders will have the final say in resolving any conflicts that cannot be settled through mediation.
Dissolution
In the unlikely event that the merger must be dissolved, all assets and members will be returned to their original groups, with a fair and equitable division of resources.
The decision to dissolve the merger will require the unanimous agreement of both Co-Leaders and a majority vote by the Council of Elders.
Amendments
This Agreement may be amended or modified only by a written agreement signed by both Co-Leaders and approved by a majority of the Council of Elders.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws and traditions established by the Legion and the Immortals.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the date first written above.
